Are electronic signatures legally binding in the United States?
Yes. The federal Electronic Signatures in Global and National Commerce Act, usually called ESIGN, took effect in 2000 and provides that a signature, contract, or record may not be denied legal effect solely because it is in electronic form. At the state level, the Uniform Electronic Transactions Act, UETA, has been adopted by nearly every state; New York instead relies on its own Electronic Signatures and Records Act, which reaches a similar result. Together they mean an electronic signature is enforceable when the same things that make a paper signature enforceable are present.
The laws do not care about the technology. A typed name, a drawn squiggle, or a clicked button can each be a valid signature if the surrounding facts are right. What the courts look at is evidence: did this person intend to sign, did they agree to do it electronically, and can the signed record be produced later in the form it was signed?
What does the ESIGN Act require?
The text of ESIGN (Public Law 106-229) is short. The elements that matter in practice are:
- Intent to sign. The signer took an action meant to sign, and that action can be shown.
- Consent to electronic records. The parties agreed to conduct the transaction electronically. For consumers, ESIGN adds disclosure requirements: what hardware and software are needed, how to withdraw consent, how to get a paper copy.
- Association with the record. The signature is attached to or logically associated with the document that was signed, not floating free.
- Record retention. The electronic record accurately reflects the agreement and remains accessible to everyone entitled to it, for as long as the law or the agreement requires.
What does UETA add?
UETA is the state-law counterpart, drafted by the Uniform Law Commission in 1999 and enacted state by state. It defines an electronic signature broadly, as an electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted with intent to sign. It also addresses attribution, the question of whose signature it is, and says a signature is attributable to a person if it was the act of that person, which may be shown in any manner, including the efficacy of the security procedure used. That last phrase is why audit trails matter: the procedure that captured the email link, the consent, the timestamp, and the IP address is the evidence of attribution.
What about the European Union?
The EU regulates electronic signatures through eIDAS (Regulation 910/2014), which defines three levels. A simple electronic signature is any electronic data attached to other data and used to sign. An advanced electronic signature is uniquely linked to the signer and capable of detecting later changes. A qualified electronic signature adds a qualified certificate from a supervised trust service provider and is the only level automatically equivalent to a handwritten signature across the EU.
Like ESIGN, eIDAS states that an electronic signature cannot be denied legal effect solely because it is electronic. LedgerSign is not a qualified trust service provider and does not issue qualified certificates; for EU transactions that require a qualified signature, a different tool is needed. For everything else, the evidentiary logic is the same as in the U.S.: intent, consent, attribution, and an unaltered record.
Which documents cannot be signed electronically?
ESIGN and UETA both carve out categories where electronic signatures do not apply or where separate rules govern. The lists vary by state, but commonly include:
- Wills, codicils, and testamentary trusts
- Adoption, divorce, and other family-law matters
- Court orders, notices, and official court documents
- Notices of cancellation of utility service, default, foreclosure, eviction, or repossession of a primary residence
- Cancellation of health or life insurance benefits
- Product recall notices affecting health or safety
- Documents accompanying the transport of hazardous materials
- Most transactions under the Uniform Commercial Code other than sales and leases
If a document falls into one of these categories, use the process that category requires. An e-signature platform cannot make an excluded document valid.

Where does blockchain fit?
Nowhere in the statutes, and that is the honest answer. Neither ESIGN, UETA, nor eIDAS mentions a blockchain, and none requires one. What anchoring does is strengthen one element, the retained record, by making its integrity provable without relying on the vendor's word. A court weighing whether a PDF is the document that was signed can be shown a hash on a public ledger from the day of signing, rather than testimony about internal controls.
